Garland Decks & Patios LLC ("Contractor"), a professional deck and patio contractor serving Garland, Dallas, and surrounding North Texas communities, utilizes a milestone-based payment structure designed to promote transparency, fairness, accountability, and mutual trust throughout the construction process.
Payments are not limited to a single upfront and final payment. Rather than requiring payment solely at the beginning and end of a project, payments may be divided into clearly defined construction milestones, each tied to substantial progress or completion of specific phases of work, consistent with industry best practices for residential outdoor construction projects.
An initial deposit is required prior to scheduling and commencement of work to allow for project planning, material procurement, and scheduling. Additional progress payments shall be due upon completion of agreed-upon construction milestones, as outlined in the written contract, with a final payment due upon Substantial Completion of the project.
All milestone payments are due immediately upon completion of the applicable phase. The Contractor is not required to proceed to the next phase of work until the corresponding milestone payment has been received, ensuring timely project execution and uninterrupted construction progress.
The payment milestone schedules set forth in this Exhibit are illustrative examples of standard project structures commonly used by Garland Decks & Patios LLC, a professional deck and patio contractor serving Garland, Dallas, and surrounding North Texas communities.
Actual milestone percentages, sequencing, timing, and payment amounts may vary based on the specific project scope, size, complexity, materials, engineering requirements, permitting conditions, site conditions, scheduling needs, and client expectations associated with each individual residential construction project.
The final and controlling milestone schedule applicable to the Client's project shall be clearly defined in the signed proposal, estimate, or contract documents**. In the event of any inconsistency, the signed proposal or contract shall govern.
Typical milestone structure may include, but is not limited to:
Due prior to scheduling and commencement of work.
Covers project mobilization, materials procurement, permitting (if applicable), and administrative costs associated with the construction of a custom residential deck.
Due upon completion of footings, piers, posts, beams, and structural framing in accordance with applicable building codes and project specifications.
Due upon installation of decking boards, stairs, and railings forming the primary walking and safety components of the deck structure.
Balance due upon Substantial Completion of the project and completion of the final walkthrough.
Typical milestone structure may include, but is not limited to, the following phases commonly used for residential patio cover and pergola construction projects performed by Garland Decks & Patios LLC:
Due prior to engineering (if required), material ordering, permitting, and scheduling to support proper planning and mobilization of the patio cover or pergola project.
Due upon completion of concrete footings/piers and installation of posts, beams, and roof framing forming the primary structural components of the patio cover or pergola.
Due upon completion of roofing systems, trim, siding, or ceiling finishes, including all major visible and protective elements of the structure.
Balance due upon Substantial Completion of the project and completion of the final walkthrough.
Applicable to multi-phase outdoor living construction projects that may include decks, patio covers, concrete work, drainage systems, electrical components, or other integrated outdoor living features.
Typical milestone structure may include, but is not limited to:
Due prior to design finalization, engineering, permitting, and long-lead material procurement required for complex outdoor living projects.
Due upon completion of excavation, grading, and concrete footings or slabs necessary to support the overall outdoor living structure.
Due upon completion of deck framing, patio cover framing, or other primary structural installations forming the backbone of the project.
Due upon installation of decking, roofing, railings, finishes, and built-ins (if applicable), completing the primary functional and aesthetic components.
Balance due upon Substantial Completion of the project and final inspection.
Milestone payments are based on substantial progress, not exact calendar dates
Contractor reserves the right to adjust milestone timing or sequencing to accommodate construction realities
Contractor is not required to proceed to subsequent phases until payment for the completed milestone is received
Delays caused by weather, inspections, material availability, permitting, or site conditions do not constitute a breach of contract.
The signed proposal, estimate, or contract documents for the Client's specific project shall govern all milestone percentages, payment amounts, sequencing, and timing.
Nothing in this Exhibit shall be interpreted as a guarantee of fixed percentages, fixed sequencing, or fixed payment amounts unless expressly stated in writing and signed by both parties.
This Exhibit shall be governed by and construed in accordance with the laws of the State of Texas and is incorporated into and made part of the Agreement between the parties.
"Non-payment may trigger rights described in the Texas Lien Notice section of this Agreement."
Milestone payments are structured to:
Ensure steady project progress
Reduce financial risk for both parties
Allow the Client to see tangible results before each payment
Support timely labor scheduling and material procurement for residential construction projects.
All milestone payments are due immediately upon completion of the corresponding phase
Contractor is not required to proceed to the next phase until payment is received
Delays in payment may result in schedule adjustments or work suspension without penalty to the Contractor.
Final payment constitutes the Client's acknowledgment that:
All work has been completed in accordance with the contract
The Client has inspected the work
The Client is satisfied and accepts the project as complete
Once final payment is received, the project shall be deemed fully accepted, and no further claims or corrections shall be required except as expressly provided under the Limited Warranty.
Garland Decks & Patios LLC accepts the following forms of payment for residential deck, patio, and outdoor living projects:

Payment method availability may be subject to transaction limits or processing fees.
If financing is offered or arranged, all financing terms, approvals, interest rates, and repayment obligations are solely between the Client and the financing provider.
Garland Decks & Patios LLC is not a lender and bears no responsibility for financing agreements, approvals, or disputes.
Failure to make timely payments may result in:
Suspension of work
Rescheduling of labor and inspections
Assessment of applicable fees
Exercise of Contractor's rights under Texas law, including lien rights as permitted under Texas Property Code Chapter 53
Garland Decks & Patios LLC structures payments around progress — not pressure. Our milestone-based approach provides clarity, accountability, and confidence from start to finish.
For residential construction projects throughout North Texas, all payments made by check, ACH, or other non-instant payment methods must fully clear Contractor's financial institution prior to work commencing or continuing.
Garland Decks & Patios LLC reserves the right to:
Delay scheduling
Suspend active work
Postpone inspections
Withhold material orders
until payment clearance is confirmed.
Any delays resulting from banking timelines, payment processing, or insufficient funds are not attributable to the Contractor and may result in reasonable schedule adjustments without penalty.
This disclosure is provided for transparency only. Garland Decks & Patios LLC makes every reasonable effort to resolve payment matters through clear communication and good-faith resolution. Detailed terms, payment milestones, and legal rights are governed by the written agreement executed between the parties.
We believe informed clients make confident decisions, and this notice is intended to support a professional, respectful working relationship.
Garland Decks & Patios LLC may provide 3D renderings or visual design concepts as part of the project planning and design process to help clients better visualize the proposed deck, patio, or outdoor living space.
3D renderings are provided as a planning tool to help visualize the project and support collaborative design decisions.
To promote efficiency and maintain project timelines, the following applies to all 3D renderings and design concepts:
Up to two (2) design revisions are included at no additional cost. Revisions may include reasonable adjustments to layout, materials, dimensions, or visual elements based on client feedback.
Revisions are intended to refine the approved design, not to restart or redesign the project scope.
Any design changes, revisions, or re-renderings beyond the two (2) included edits shall be considered additional design services and may be subject to an added fee.
All additional design fees must be:
Clearly communicated in advance
Approved in writing
Signed off on by both the Contractor and the homeowner prior to proceeding
Excessive or repeated design revisions may impact project scheduling and timelines.
Final construction is governed by the approved plans, drawings, and written agreement, and minor variations between renderings and finished construction may occur due to material availability, site conditions, code requirements, or constructability considerations.
Garland Decks & Patios LLC operates as a professional residential deck, patio, and outdoor living contractor serving Garland, Dallas, Rockwall, Rowlett, Plano, Richardson, Wylie, Sachse, Mesquite, and surrounding North Texas communities. All construction is performed in accordance with applicable municipal building codes, zoning ordinances, and permitting requirements in effect at the time of construction.
Many projects require review, permitting, and inspections by local cities, counties, or third-party agencies. Permit approvals, inspection scheduling, review timelines, and enforcement decisions are governed solely by the applicable authority and are outside of Contractor's control.
Garland Decks & Patios LLC shall not be responsible for project delays, rescheduling, or interruptions caused by:
City or county permitting timelines
Inspection availability or rescheduling
Plan review comments or code interpretations
Administrative delays, staffing limitations, or municipal backlogs
Such delays are common in North Texas construction markets and do not constitute a breach of contract, nor do they entitle the Client to penalties, refunds, or damages.
Engineering services, structural calculations, and professional design coordination may be required for deck, patio cover, pergola, or outdoor living projects based on local code requirements, site conditions, or municipal review standards common throughout Garland, Dallas, and surrounding cities.
Unless otherwise stated in writing:
Up to two (2) engineering or design revisions are included** at no additional cost
A "third revision or any major design change" may be subject to an additional fee
Revisions beyond three (3)are considered additional professional services and are subject to increased pricing. These revisions do not include major design changes.
Major design changes include, but are not limited to:
Structural or load-bearing modifications
Footprint, elevation, or span changes
Material substitutions affecting engineering
Scope changes required by city review or homeowner preference
All additional engineering or design fees must be approved in writing and signed by both the Contractor and the homeowner prior to proceeding.
Residential construction projects in North Texas are subject to external factors beyond Contractor's control ("Externalities") that may impact scheduling, sequencing, or completion timelines.
Garland Decks & Patios LLC shall not be responsible for delays, stoppages, or rescheduling caused by:
Weather conditions, storms, or Acts of God
Material shortages or supplier backorders
Manufacturer production delays
Shipping, freight, or vendor logistics
Utility coordination or third-party service providers
Restricted site access or homeowner-caused delays
Delays arising from externalities are common within the regional construction industry and do not constitute a breach of contract, nor do they subject the Contractor to penalties or liquidated damages.
Project schedules will be adjusted in good faith, and work will resume promptly once conditions allow.
Garland Decks & Patios LLC provides residential deck, patio, and outdoor living construction services exclusively in accordance with the written scope of work outlined in the approved proposal or contract.
Any services, materials, features, or improvements not expressly listed in the written agreement are excluded unless added through a written and approved change order. Verbal discussions, assumptions, text messages, or informal communications do not alter the scope of work.
This clarification helps ensure transparency and alignment for projects completed throughout Garland, Dallas, Rockwall, Rowlett, Plano, Richardson, Wylie, Sachse, Mesquite, and surrounding North Texas communities.
Construction projects often evolve as design decisions are finalized. Any changes to materials, dimensions, layout, design, engineering, or scope requested after contract execution must be documented in a written change order.
Change orders may affect pricing, scheduling, inspections, and project timelines. All change orders must be approved in writing by both the homeowner and Garland Decks & Patios LLC before additional work begins.
The homeowner is responsible for providing safe, clear, and unobstructed access to the project site during normal working hours.
Delays caused by restricted access, parked vehicles, pets, locked gates, personal property, or homeowner-controlled conditions may result in schedule adjustments. Garland Decks & Patios LLC is not responsible for delays or additional costs resulting from site access limitations.
Garland Decks & Patios LLC is not responsible for unknown, unmarked, or undisclosed underground utilities, irrigation lines, drainage systems, or subsurface conditions.
The homeowner is responsible for identifying and disclosing known underground conditions prior to construction. Any additional work or repairs required due to undisclosed conditions may result in added costs and schedule changes.
Residential construction may result in temporary disturbance to lawns, landscaping, soil, or surrounding areas. While reasonable care is taken to minimize impact, Garland Decks & Patios LLC is not responsible for normal wear, soil settlement, or incidental disruption inherent to deck, patio, and outdoor living construction.
Outdoor construction projects involve noise, equipment, materials, and temporary debris. Work is performed during standard business hours unless otherwise agreed.
Garland Decks & Patios LLC is not responsible for inconvenience caused by normal construction activity and takes reasonable measures to maintain a clean and organized job site.
Outdoor construction in North Texas is subject to weather conditions, seasonal changes, and environmental factors.
Delays caused by rain, extreme temperatures, high winds, or unsafe working conditions do not constitute a breach of contract. Project schedules will be reasonably adjusted to accommodate weather-related impacts common to deck and patio construction in the region.
Garland Decks & Patios LLC shall not be held responsible for delays or inability to perform services due to events beyond reasonable control, including but not limited to natural disasters, governmental actions, labor disruptions, material shortages, or supply chain interruptions.
The written contract, approved plans, and signed change orders govern the project. Informal communications—including text messages, emails, or verbal conversations—do not modify contractual terms unless confirmed in writing and approved by both parties.
Garland Decks & Patios LLC reserves the right to suspend or terminate services for non-payment, unsafe working conditions, repeated interference with construction activities, or material breach of the agreement, in accordance with Texas law.
To the fullest extent permitted by applicable Texas and federal law, the total aggregate liability of Garland Decks & Patios LLC ("Contractor") arising out of or related to the project, the Agreement, the services performed, or these Terms & Conditions whether based in contract, tort, negligence, strict liability, or otherwise shall be strictly limited to the total amount actually paid by the Client to the Contractor under the applicable written contract.
In no event shall Contractor's liability exceed this amount, regardless of the number or nature of claims asserted.
To the maximum extent permitted by law, Client expressly waives any claim against Garland Decks & Patios LLC for incidental, consequential, special, indirect, or punitive damages, including but not limited to:
Loss of use
Loss of enjoyment
Loss of profits or rental income
Diminution in property value
HOA penalties or third-party claims
Emotional distress
This waiver applies regardless of whether such damages were foreseeable or whether Contractor was advised of the possibility of such damages.
Except as expressly stated in a written Limited Warranty provided with the executed contract, Garland Decks & Patios LLC disclaims all other warranties, whether express or implied, including but not limited to:
Implied warranties of merchantability
Implied warranties of habitability
Implied warranties of fitness for a particular purpose
To the fullest extent permitted under Texas law, the written Limited Warranty shall control exclusively, and no other representations or warranties shall apply.
Any dispute, claim, or controversy arising out of or relating to the project, the Agreement, or these Terms & Conditions shall be resolved exclusively in a court of competent jurisdiction located within the State of Texas.
The parties irrevocably consent to such venue and waive any objection based on improper venue or forum non conveniens.
In any legal action, arbitration, mediation, or proceeding arising out of or related to the Agreement, the prevailing party shall be entitled to recover its reasonable attorney's fees, court costs, expert fees, and litigation expenses, to the fullest extent permitted under Texas law.
Client acknowledges and agrees that:
No oral statements, marketing materials, website content, estimates, or informal communications constitute binding representations
Client has not relied upon any statement or promise not expressly set forth in the written contract documents
Only the executed written agreement, approved plans, and signed change orders govern the parties' obligations.
If any provision of these Terms & Conditions or the Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect as though the invalid provision had never been included.
All provisions relating to payment obligations, limitation of liability, warranty disclaimers, dispute resolution, indemnification, attorney's fees, and governing law shall survive completion, suspension, or termination of the project.
If work is suspended for an extended period due to non-payment, Client-caused delays, lack of access, or failure to approve required decisions or materials, Contractor may, after reasonable notice, treat the project as suspended or abandoned.
In such event, Contractor may pursue all remedies permitted under Texas law, including recovery of:
Outstanding balances
Demobilization and remobilization costs
Storage or material handling costs
Garland Decks & Patios LLC maintains commercial general liability insurance consistent with industry standards for residential construction in Texas.
Client is solely responsible for maintaining adequate property insurance covering the residence, improvements, and project site during construction. Contractor shall not be responsible for losses covered by Client's insurance.
Client grants Garland Decks & Patios LLC the right to photograph and video record the project site before, during, and after construction and to use such media for documentation, portfolio display, marketing, advertising, and educational purposes, provided no personal identifying information is disclosed.
These Terms & Conditions, together with the executed contract, approved plans, exhibits, and signed change orders, constitute the entire agreement between the parties and supersede all prior or contemporaneous negotiations, discussions, representations, or understandings, whether written or oral.
No modification shall be valid unless made in writing and signed by both parties.
